Terms of Use

This document is effective as of the date above. This policy is subject to revision following formal legal review.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and Heleos Foundation ("Heleos," "we," "us," or "our") governing your access to and use of the Heleos website (heleos.com), the Heleos blockchain network, and related ecosystem platforms and services (collectively, the "Services").

Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

1. Definitions

  • "Heleos Network" means the Heleos Layer 1 blockchain, including its consensus mechanism, custom modules, and protocol-level operations.
  • "OS" means the native utility token of the Heleos Network.
  • "Ecosystem Platforms" means the applications and services built on the Heleos Network, including but not limited to Tilus, StableNow, EquityLayer, and any future platforms.
  • "Staking" means the act of locking OS tokens on the Heleos Network to participate in consensus, earn rewards, or gain access to services and applications.
  • "Validator" means a network participant that operates a node and participates in the Heleos Network's consensus mechanism.
  • "Wallet" means a digital tool used to interact with the Heleos Network, store OS tokens, and sign transactions.
  • "Smart Contract" means self-executing code deployed on the Heleos Network.
  • "Heleos Foundation" means the entity that holds a permanent stake in the Heleos Network and directs staking yield toward ecosystem development and community initiatives.
  • "Content" means all text, graphics, data, articles, and other materials available through the Services.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years of age (or the age of legal majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be a resident of, or located in, any jurisdiction where access to or use of the Services would be prohibited by applicable law
  • Not be listed on any government sanctions list, including but not limited to the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals List, the EU Consolidated Sanctions List, or the UK Sanctions List
  • Not be acting on behalf of any person or entity that is subject to the above restrictions

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

3.1 Website

The Heleos website provides information about the Heleos ecosystem, its technology, tokenomics, and partnership opportunities. The website is informational and does not constitute an offer to sell or a solicitation of an offer to buy any tokens, securities, or financial instruments.

3.2 Heleos Network

The Heleos Network is a Layer 1 blockchain featuring custom modules for advanced staking, stake-gated access control, and stablecoin infrastructure. The network operates through an independent set of validators and is governed by its token holders.

3.3 Ecosystem Platforms

Ecosystem Platforms are distinct applications and services built on the Heleos Network. Each Ecosystem Platform may have its own supplemental terms of use that apply in addition to these Terms. In the event of a conflict between these Terms and any supplemental terms, the supplemental terms shall govern with respect to that Ecosystem Platform.

4. Account and Wallet Responsibilities

4.1 Wallet Security

You are solely responsible for the security of your wallet, including your private keys, seed phrases, and any other credentials used to access the Heleos Network. We do not have access to your private keys and cannot recover them if lost.

4.2 Irreversible Transactions

Transactions on the Heleos Network are irreversible once confirmed. We are not responsible for any loss resulting from incorrect wallet addresses, incorrect transaction amounts, or other user errors. You acknowledge that blockchain transactions cannot be reversed, cancelled, or refunded.

4.3 Account Information

Where account creation is required to access certain Services, you agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for all activity that occurs under your account.

5. Staking Terms

5.1 Staking Mechanisms

The Heleos Network supports multiple staking configurations, including traditional staking, application access staking, real estate staking, and physical access staking. Each configuration has distinct lockup periods, reward structures, and withdrawal conditions.

5.2 Staking Rewards

Staking rewards are generated from ecosystem transaction fees and distributed according to the rules encoded in the Heleos Network's staking modules. Reward rates are variable and are not guaranteed. Past reward rates are not indicative of future rates. The Heleos Foundation, validators, and governance processes may adjust reward parameters.

5.3 Lock-Up Periods and Withdrawal Penalties

Certain staking configurations impose lock-up periods during which staked tokens cannot be withdrawn. Early withdrawal, where permitted, may be subject to penalties ranging from 10% to 70% of the staked amount, depending on the stake type and configuration. You are responsible for understanding the specific terms of any staking position before entering into it.

5.4 Slashing Risk

If you delegate your stake to a validator that engages in malicious behavior or fails to meet network requirements, a portion of your staked tokens may be "slashed" (permanently removed) as a penalty. Heleos is not responsible for losses resulting from validator slashing.

5.5 Multi-Beneficiary Staking

The Heleos Network supports staking configurations where rewards are distributed to multiple beneficiaries, including developers, content creators, property owners, and charitable organizations. The terms of reward distribution are determined by the specific staking configuration and are visible before you enter a staking position.

5.6 No Guarantee of Returns

Staking involves risk, including the risk of partial or total loss of staked tokens. We do not guarantee any specific rate of return on staked assets. You should not stake tokens that you cannot afford to lose.

6. Token Acknowledgments

6.1 Utility Token

OS is a utility token that is used for staking, governance, transaction fees, and accessing services within the Heleos ecosystem. OS is not intended to be a security, investment contract, or financial instrument.

6.2 Price Volatility

The value of OS tokens may fluctuate significantly. We make no representations or warranties regarding the future value of OS tokens. You acknowledge that you may lose some or all of the value of any OS tokens you hold.

6.3 Regulatory Uncertainty

The regulatory status of blockchain tokens, including OS, is evolving and varies by jurisdiction. Changes in law or regulation may adversely affect the use, transfer, or value of OS tokens. You are responsible for understanding and complying with all applicable laws in your jurisdiction.

6.4 No Investment Advice

Nothing in the Services constitutes financial, investment, legal, or tax advice. You should consult your own advisors before making any decisions related to OS tokens or the Heleos ecosystem.

7. Governance Participation

7.1 Voting Rights

OS token holders may participate in network governance by submitting proposals and voting on matters affecting the Heleos Network. Governance participation is subject to the rules and procedures established by the Heleos governance framework.

7.2 No Guarantee of Outcomes

Governance votes are advisory or binding as specified by the governance framework. We do not guarantee that any particular proposal will be adopted or that governance processes will achieve any specific outcome.

8. Prohibited Uses

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Circumvent or attempt to circumvent any sanctions, embargoes, or trade restrictions
  • Manipulate the market for OS tokens or any other digital assets
  • Interfere with the operation of the Heleos Network, including by running malicious validators, submitting spam transactions, or exploiting protocol vulnerabilities
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services
  • Use the Services for any purpose that is fraudulent, deceptive, or harmful
  • Reverse engineer, decompile, or disassemble any aspect of the Services, except to the extent required by applicable law
  • Use automated systems (bots, scrapers, or similar tools) to access the Services in a manner that exceeds reasonable use or places undue burden on our infrastructure
  • Facilitate or assist any third party in doing any of the foregoing

9. Intellectual Property

9.1 Heleos Intellectual Property

All content, trademarks, logos, and other intellectual property displayed on the Heleos website are the property of Heleos or its licensors and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any Heleos intellectual property without our prior written consent.

9.2 Open-Source Software

Certain components of the Heleos Network may be released under open-source licenses. Your use of open-source software is governed by the applicable open-source license terms, which take precedence over these Terms to the extent of any conflict.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback without obligation to you.

10. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, applications, or services. We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

11. Disclaimers

11.1 "As Is" and "As Available"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, HELEOS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Warranty of Availability

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the Heleos Network will operate continuously or without downtime.

11.3 Blockchain Disclaimers

We do not warrant the accuracy, completeness, or reliability of any information obtained through the Heleos Network. Blockchain technology is experimental and evolving. You acknowledge and accept the inherent risks of using blockchain-based systems, including but not limited to the risk of software vulnerabilities, protocol changes, consensus failures, and network attacks.

11.4 Smart Contract Risk

Smart contracts on the Heleos Network are executed by code. While we endeavor to ensure the correctness of smart contracts we deploy, we do not warrant that smart contracts will perform as intended in all circumstances. Smart contracts may contain bugs, vulnerabilities, or unexpected behaviors.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HELEOS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY LOSS OF OR DAMAGE TO TOKENS, DIGITAL ASSETS, OR STAKED POSITIONS
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSACTIONS

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF HELEOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Heleos, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Any content or information you submit through the Services

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, Campbell County, without regard to its conflict of laws principles.

14.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, that cannot be resolved through informal resolution shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules then in effect. The arbitration shall be conducted in Gillette, Wyoming. The language of the arbitration shall be English. The arbitrator's decision shall be final and binding.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. Modification of Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and provide notice through the Services. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

16. Termination

16.1 Termination by You

You may stop using the Services at any time. Termination of your use does not affect any staking positions, on-chain data, or other obligations that survive termination.

16.2 Termination by Heleos

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms or applicable law.

16.3 Effect of Termination

Upon termination, your right to access the Services will cease. Sections 1, 6, 9, 11, 12, 13, 14, and 17 shall survive termination.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms for Ecosystem Platforms, constitute the entire agreement between you and Heleos regarding the Services.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet disruptions, blockchain network failures, or consensus mechanism disruptions.

17.6 Electronic Communications

By using the Services, you consent to receiving electronic communications from us. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
